Acceptance of Terms

By accessing and using PHP Services ("we," "our," or "us") website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this site or our services.

These Terms & Conditions govern your use of our website and services. Please read them carefully before using our services.

Definitions

"Services"
Refers to all web development, design, digital marketing, and consulting services provided by PHP Services.
"Client"
Any individual or entity that uses our services or accesses our website.
"Content"
All text, images, graphics, code, and other materials available on our website or provided through our services.
"Project"
A specific scope of work agreed upon between PHP Services and the Client.

Services Agreement

When you engage our services, you agree to:

  • Provide accurate and complete information required for project completion
  • Make timely payments as outlined in your service agreement
  • Provide necessary feedback and approvals within reasonable timeframes
  • Adhere to project timelines and milestones
  • Respect our intellectual property rights

Each project will be governed by a separate Service Agreement that outlines specific deliverables, timelines, and payment terms.

Payment Terms

All services require payment as follows:

  • Project-Based Work: 50% deposit upon agreement, 50% upon completion
  • Monthly Services: Payment due at the beginning of each service period
  • Hourly Work: Invoiced bi-weekly or monthly based on hours worked
  • Late Payments: Subject to 1.5% monthly interest or maximum allowable by law

Services may be suspended for accounts with overdue payments. Reactivation may require payment of all outstanding balances plus a reactivation fee.

Intellectual Property

Ownership of intellectual property is defined as follows:

  • Client Materials: Client retains ownership of all materials provided to us
  • Our Work Product: We transfer ownership of final deliverables to Client upon full payment
  • Background IP: We retain ownership of our pre-existing code, tools, and methodologies
  • Third-Party IP: Proper licenses must be obtained for any third-party materials used

Upon full payment, Clients receive a perpetual license to use the delivered work product for its intended purpose.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received from the other party:

  • Confidential information includes business plans, technical information, and trade secrets
  • This obligation survives termination of our relationship
  • Exceptions include information that becomes publicly available or must be disclosed by law
  • We may include your project in our portfolio unless otherwise agreed in writing

Warranties and Limitations

We warrant that our services will be performed in a professional manner consistent with industry standards. However:

  • We do not guarantee specific business results from our services
  • We are not liable for third-party platform changes that affect delivered work
  • Client is responsible for maintaining and updating delivered websites
  • All warranties are limited to those expressly stated in writing

Our maximum liability for any claim relating to our services is limited to the amount paid for those specific services.

Termination

Either party may terminate services under the following conditions:

  • For Cause: Material breach of agreement with 30 days to cure
  • Convenience: Either party may terminate with 30 days written notice
  • Immediate Termination: For illegal activities or violation of acceptable use policies
  • Effect of Termination: Client pays for all services rendered up to termination date

Acceptable Use

You agree not to use our services for:

  • Any illegal purpose or activity
  • Spam, phishing, or other malicious activities
  • Distribution of malware, viruses, or harmful code
  • Infringement of intellectual property rights
  • Harassment, defamation, or invasion of privacy
  • Any activity that could harm our systems or reputation

Violation of acceptable use policies may result in immediate termination of services without refund.

Indemnification

You agree to indemnify and hold harmless PHP Services, its employees, and affiliates from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these terms
  • Your infringement of any third-party rights
  • Any content you provide for use in projects

Governing Law

These Terms & Conditions are governed by the laws of the State of Missouri. Any disputes shall be resolved in the courts located in Jackson County, Missouri.

We strive to resolve disputes amicably. If informal resolution fails, parties agree to mediate before pursuing litigation.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes by:

  • Posting the updated terms on our website
  • Updating the "Last Updated" date
  • Where appropriate, providing direct notice to active clients

Continued use of our services after changes constitutes acceptance of the modified terms.
